Section 760IAC1-3-7. Applicability of rule

This regulation [760 IAC 1-3] is intended to apply only to actual offering and sale of stock to the public. It does not apply to changes in corporate structure, amendments to articles of incorporation, merger, consolidation or other corporate changes which do not involve the public offering of stock; nor is it intended to cover situations which are exempt from registration under provisions of the Indiana Securities Law or regulations of the Indiana Securities Commission.
